Amending a company's articles of association is one of the legal procedures a company may need to carry out during its commercial life, whether to expand its activities, change its management structure, increase its capital or bring its position in line with new legislation.

In Saudi Arabia, this procedure is subject to precise legal requirements set out in the new Companies Law issued by Royal Decree No. (M/132) dated 01/12/1443H.

In this article we provide a comprehensive guide to the legal requirements for amending a company's articles of association under Saudi law, covering the procedures, the conditions that must be met and the effects of the amendment, with a focus on the practical aspects that matter to investors, business owners and legal professionals.

What Are a Company's Articles of Association?

The articles of association are the legal document that gives a business entity its legal identity. Without them, the company has no capacity to contract and cannot carry on its business, open bank accounts or deal with government bodies.

What the Articles of Association Include

  1. The partners' details, including their names, nationalities and the share each holds in the capital.
  2. The amount of the issued capital and how it is distributed among the partners.
  3. The nature of the activities and services the company is permitted to carry on.
  4. The organization of management powers, and the responsibilities of the managers or partners in making operational and financial decisions.

It is worth noting that the articles of association define the company's identity: its partners, capital, activity and shareholdings, while the bylaws govern its internal workings, such as general assemblies, management and decision-making. In other words, the first creates the entity and the second runs its day-to-day and administrative affairs.

The Legal Basis for Amending the Articles of Association

The new Saudi Companies Law is the legislative framework governing all types of companies in the Kingdom. It came into force in January 2023 and required all establishments and companies to adapt to its standards and bring their legal position into line with its provisions.

The law sets out a robust mechanism for amending articles of association that suits the nature of each legal form of company. The scope of these amendments covers adding, amending or removing any clause of the articles, to ensure full alignment with the new legislative environment for companies.

The Ministry of Commerce has also stressed the need to amend the articles immediately whenever a material change occurs in the company's structure or registered details, such as:

  • Changing the capital, whether by increasing or reducing it.
  • Adding a new partner or changing the ownership structure.
  • Changing the company's objects or main activity.
  • Changing the management or the legal representative.
  • Changing the head office or any other details set out in the articles of association.

Through this, the Saudi legislator aims to keep companies' details in the Commercial Register up to date and accurate at all times, to ensure transparency and protect the rights of creditors and those who deal with the company.

If company owners fail to comply, the Ministry of Commerce takes regulatory action that starts with a warning and may escalate to fines that vary with the length of the delay and the type of violation, or temporary suspension of the commercial registration. In some cases it can go as far as cancelling the commercial registration and dissolving the company in accordance with the prescribed procedures.

When Do You Need to Amend Your Articles of Association?

Amending the articles of association is a normal practice that reflects a company's development and adaptation to a changing business environment. The regulations require this amendment in the following cases:

  1. A new partner joins, whether to bring in additional investment, broaden the funding base or add specialist expertise to the ownership structure.
  2. The capital is increased to finance operational or geographical expansion plans, or to meet the requirements of financiers and investors.
  3. The capital is reduced, where the issued capital turns out to exceed the company's actual needs, or to correct its financial position or restructure its balance sheet.
  4. The scope of activity changes, such as adding new technology, industrial or service activities that were not included at incorporation, or removing activities that are no longer viable.
  5. The head office moves or the legal address changes, to update the official records held by government bodies and ensure that legal correspondence and notices are delivered correctly.
  6. Shareholdings are redistributed or a partner exits, whether by assignment or by voluntary or compulsory withdrawal, to keep the ownership structure stable and avoid future legal disputes.

The articles of association must be amended immediately when any change occurs, with no grace period; otherwise fines or cancellation of the commercial registration may follow. We therefore advise starting the procedures as soon as the decision is made.

Requirements and Conditions for Amending the Articles of Association

The following conditions must be met for an application to amend a company's articles of association to be accepted:

  1. The company's commercial registration must be valid and unexpired.
  2. A valid investment license must be in place if foreign parties are involved or the company is wholly foreign-owned.
  3. A resolution must be issued by the extraordinary general assembly, or a shareholders' resolution for joint stock or simplified joint stock companies.
  4. There must be no penalties or suspension orders issued against the company by the Ministry of Commerce.

Steps to Amend a Company's Articles of Association

The Ministry of Commerce offers an online service for amending articles of association through the Saudi Business Center platform, with no need to visit the Ministry's branches. The amendment is completed in the following steps:

  1. Log in to the Saudi Business Center platform.
  2. Choose the "Amend Articles of Association / Bylaws" service from the list of e-services.
  3. Complete the service details and attach the required documents, including the partners' or shareholders' resolution and a copy of the existing articles.
  4. Submit the application online. If it is approved, an invoice is issued and the fees are paid, then the amended articles are published electronically.

Documents Required to Amend the Articles of Association

The applicant, whether a partner, manager or authorized representative, must prepare the following documents to prove that the amendment is valid and legitimate:

  1. A clear copy of the approved articles of association or bylaws of the company as recorded in the Commercial Register.
  2. The proposed amendment document, signed by all partners or by those representing the statutory majority of at least 75% of the capital.
  3. The minutes of the partners' or shareholders' meeting, proving that the amendment was made by collective decision and not by an individual.
  4. Any additional documents requested by the Ministry of Commerce, depending on the nature of the company.

Fees for Amending the Articles of Association

The total cost of amending the articles of association depends on the nature and complexity of the amendment. It does, however, include three main components that the company's management should take into account when budgeting for the procedure:

  1. Government fees charged by the competent authorities, which usually start from SAR 1,200 and may increase depending on the type of amendment and the number of clauses to be changed.
  2. Notarization fees charged by the notarizing body, whether a traditional notary public or an approved online platform.
  3. Legal and advisory fees, which are the most significant item in value, given the precise drafting of the amended clauses, the follow-up of the amendment with all the competent authorities and the assurance that it contains no loopholes that could expose the company to future legal risk, in addition to saving the time and effort that routine procedures can take when handled in-house.

The Risks of Amending the Articles of Association Without Legal Supervision

You can amend your articles of association without specialist legal supervision, but in some cases this can expose the company to risks that may prove costly, both financially and for the stability of the relationship between the partners.

The first of these risks is that the competent authorities may cancel or reject the amendment if its wording does not comply with the new Saudi Companies Law and its implementing regulations, meaning the whole procedure must be repeated from the start, with the loss of time and effort that entails.

A lack of precise legal drafting can also open the door to complex partnership disputes, particularly when the amendments concern the distribution of shares, the entry of a new partner or the restructuring of management. Unclear or loosely worded clauses become fertile ground for conflicting interpretations between the parties, which may turn into court disputes that drain the company's resources and affect its continuity.

Moreover, the consequences are not limited to disputes between partners. They extend to fines imposed by the Ministry of Commerce and other regulators, whether because of procedural errors in the application, failure to meet the statutory deadline for the amendment or the submission of inaccurate information. Although these fines may seem modest, they can add up to an unexpected financial burden on the company's budget.

The most serious risk is that a new or departing partner loses their rights because the clauses on their share, obligations or exit arrangements were not drafted precisely enough. This may deprive them of what they are owed or expose them to obligations they were not fully aware of, undermining investors' confidence in the company's governance structure.
